This is the licence agreement for OfficeForms Filler. There is NO CHARGE for this self-service software licence. And with it you can fill in any licensed OfficeForms form, e.g. there are a number of government forms becoming available electronically as OfficeForms forms.

Please read this document carefully, you will find the Accept button at the bottom of the page.

By selecting the "Accept" button, you are confirming your acceptance of the software and agreeing to become bound by the terms of this Agreement.

Once you have forms enabled your PC you will be able to use the online forms in the demonstration area without downloading the software again.

Licence Agreement

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND TOPLEVEL COMPUTING LIMITED OF BATH ROAD TRADING ESTATE, STROUD, GLOUCESTERSHIRE, GL5 3QF, ("TOPLEVEL"), A COMPANY REGISTERED IN ENGLAND AND WALES. YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE DOWNLOADING THIS SOFTWARE. BY DOWNLOADING IT, YOU ARE AGREEING TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THEM YOU SHOULD NOT DOWNLOAD IT.

1. DEFINITIONS

In this Licence the following words have the following meanings: "Licensed Forms" forms lawfully generated or purchased from Toplevel by a customer using Toplevel software pursuant to an appropriate licence including OFMs "Networked System" an electronically linked configuration (LAN or intranet, including website) in which two or more users have common access to software or data"OFM" an intelligent electronic form designed for on-screen completion and paper reproduction, file extension .OFM or .OFW

2. GRANT OF LICENCE

2.1 Toplevel grants you a non-exclusive licence to use the Toplevel OfficeForms Filler software acquired with this Licence ("the Software") for the purpose of filling out Licensed Forms
2.2 The Software is provided free of charge and you are not entitled to documentation, support, or telephone assistance from Toplevel.

3. COPYRIGHT

The Software is owned by Toplevel or its licensors and is protected by English copyright laws, international treaty provisions and any other applicable national laws. You must therefore treat the Software like any other copyrighted material (for example a book).

4. PERMITTED AND NON-PERMITTED USES

4.1 Installation

You are allowed to use the Software on one computer only. You must not sell, lease, sub-license, rent or otherwise distribute the Software.

4.2 Networked and/or Multi-user Systems

If more than one person wishes to use the Software at the same time on a Networked System then you must obtain additional licences from Toplevel and a separate copy of the Software for each additional person.

5. TERM

5.1 Toplevel may terminate this Licence immediately if you fail to comply with any of its terms, in which case you will return to Toplevel at your own expense the Software together with any copies and accompanying documentation.
5.2 You may terminate this Licence by returning to Toplevel at your expense the Software.

6. TRANSFER

This Licence is not transferable or assignable by you to any other person. This Licence may be transferred or assigned by Toplevel.

7. OTHER RESTRICTIONS

Except as permitted by law, you must not reverse engineer, alter, decompile or disassemble the Software.

8.LIMITATION OF LIABILITY

The Software is provided free of charge and therefore without warranty of any kind and no term of satisfactory quality or of fitness for any particular purpose is to be implied into this Licence, except to the extent required by applicable law. Toplevel will not be liable for any direct, indirect, incidentalor consequential damages whether in contract, negligence or other tort resulting from any defect, error, omission or failure of the Software or information supplied. This limitation includes but it is not limited to loss of profit, loss of business opportunity, business interruption, loss of business information, loss or damage to equipment or any other pecuniary loss.

9. INDEMNITY

You agree to indemnify Toplevel against any loss, damage or expense arising out of or in connection with the reproduction, supply or unauthorised use by you of the Software.

10. COMPLETE AGREEMENT

This Licence sets out in full the entire agreement between the parties. Each party confirms that it has not relied upon any representation not recorded in this Licence inducing it to enter into this Licence. No variation of these terms and conditions will be valid unless confirmed in writing by authorised signatories of both parties on or after the date of this Licence.

11. SEVERABILITY

If any provision of this Licence is found to be invalid or unenforceable, such provision shall be severed from this Licence and the remaining provisions shall remain in full force and effect.

12. CONSUMERS

Nothing in this Agreement shall affect the statutory rights of a Customer dealing with Toplevel as a consumer as defined in the Unfair Contract Terms Act 1977.

13. GOVERNING LAW

This Licence will be governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English Courts.
